Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NexaClaim AI platform, website, APIs, and related services (collectively, the "Services") provided by NexaClaim AI, Inc. ("NexaClaim," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you represent that you are at least 18 years old, have the legal authority to bind your organization to these Terms, and agree to comply with all applicable laws and regulations including, without limitation, the Health Insurance Portability and Accountability Act (HIPAA) and its implementing regulations.

2. Description of Services

NexaClaim provides an AI-powered revenue cycle management platform that includes denial management, AI-assisted medical coding, automated appeal generation, prior authorization automation, payer intelligence, and executive analytics. The Services are designed for use by healthcare organizations and their authorized personnel.

3. Account Registration and Security

To use the Services, you must register for an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access to your account
  • Ensuring that all users within your organization comply with these Terms
  • Enabling multi-factor authentication as required by your security policies

4. Permitted Use

You may use the Services solely for lawful, internal business purposes related to healthcare revenue cycle management. You may not:

  • Use the Services for any purpose other than healthcare revenue cycle management
  • Share your account credentials with unauthorized individuals
  • Attempt to reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit malicious code, spam, or harmful content
  • Circumvent any access controls, rate limits, or security measures
  • Use the Services in violation of HIPAA or any other applicable healthcare regulations
  • Resell, sublicense, or provide the Services to third parties without our written consent

5. Protected Health Information

If you use the Services to process Protected Health Information (PHI) as defined by HIPAA, the following applies:

  • You must execute a Business Associate Agreement (BAA) with NexaClaim prior to transmitting any PHI through the Services
  • You are responsible for ensuring that you have the legal authority to share PHI with NexaClaim
  • You must comply with the HIPAA Minimum Necessary Standard when transmitting PHI
  • Our processing of PHI will be governed by the BAA and applicable HIPAA regulations

6. AI-Generated Content

The Services use artificial intelligence to generate recommendations, code suggestions, appeal letters, and analytical insights. You acknowledge and agree that:

  • AI-generated content is provided as a decision-support tool and does not constitute medical, legal, or financial advice
  • All AI recommendations should be reviewed by qualified professionals before action is taken
  • NexaClaim does not guarantee the accuracy, completeness, or appropriateness of AI-generated content
  • You retain full responsibility for the accuracy of claims submitted, appeals filed, and codes assigned
  • AI-generated appeal letters should be reviewed and approved by authorized personnel before submission to payers

7. Pricing and Payment

The Services are offered on a subscription basis with pricing as set forth on our website or in an executed Order Form. You agree to pay all applicable fees in accordance with your selected plan. We may change our pricing with 30 days written notice. Per-claim fees, if applicable, are calculated based on the number of claims processed through the platform each billing period.

8. Intellectual Property

NexaClaim retains all rights, title, and interest in the Services, including all software, algorithms, AI models, user interfaces, and documentation. Nothing in these Terms grants you ownership of any intellectual property of NexaClaim. You retain ownership of your data, including all PHI and business data you submit to the Services.

9. Data Ownership and Portability

Your data remains your property at all times. You grant NexaClaim a limited license to use your data solely for the purpose of providing the Services. Upon termination, you may export your data in standard formats. We will retain your data for 30 days after termination, after which it will be securely deleted unless a longer retention period is required by law or our BAA.

10. Service Level Agreement

NexaClaim targets 99.9% uptime for the Services, excluding scheduled maintenance windows. Specific SLA commitments, including remedies for downtime, are set forth in your Order Form or applicable Service Level Agreement addendum.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXACLAIM'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NEXACLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL NEXACLAIM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR PROFITS.

12. Indemnification

You agree to indemnify and hold harmless NexaClaim, its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation, including HIPAA.

13. Termination

Either party may terminate these Terms with 30 days written notice. We may suspend or terminate your access immediately if you breach these Terms, violate applicable law, or pose a security risk. Upon termination, your right to access the Services ceases, and we will process your data in accordance with our data retention policies and any applicable BAA.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Salt Lake County, Utah.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to the account administrator and posted on our website at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
